The role of the Board of Directors in the system of the corporate government is considered in the article and the estimation of the efficiency of its activity is presented here according to Russian and foreign researches. The directions increasing the efficiency of the functioning and promoting the forming of the professional Board of Directors of the company for the purpose of raising the cost of business and realization of shareholders' interests are exposed in this article.
