Main objective of perfection of a corporate governance is asymmetric information removal between shareholders and managers by adequate distribution of the competence of controls, the rights and responsibilities of the persons constituting controls, and also an establishment of adequate responsibility. However before to improve corporate governance system in the bank (company), it is necessary to advance not only the current condition, but also factors which influence this system.
