Electronic commerce is gradually transformed from a version of trade activity to the independent direction of global network economy which can't be ignored. The Russian Federation is in the lead in the CIS on development of electronic commerce, however lags behind world leaders in its institutionalization. In article problems of state regulation of electronic commerce in Russia are analyzed and ways their solutions are proposed.
