Commercial secret as a complicate social economic institute is ambivalent. It has positive and negative aspects. Commercial secret invigorates innovation development and scientific and technological progress, provides entrepreneurs with higher profit rate. Negative practices of commercial secret are mostly caused by ineffective government policy and transition state of economics. The article analyses shadow practices in commercial secret field and suggests the model of commercial secret offence mechanism.
