Theoretical model of counteraction to hostile takeovers (raiders) in Russia

Processes of redistribution of the property became characteristic of the Russian economy at the end of the XX-th century. New participants (raiders) have appeared on the market of mergers and absorptions, whose aim was to establish the economic power and the control over the resources of the firms. During the financial and economic crises the quantity of hostile takeovers, so the problem of formation of the system of counteraction to raiders is particularly urgent. In the present work the purposes and the basic raider’s mechanisms, the methods of counteraction to them are analysed as well as the theoretical model of counteraction to hostile takeovers in Russia is offered. The conclusion is that in the transition to market economy the firms and the state activities in their struggle with raiders should be complex and systematical.
