Importance The paper studies problems and factors that had a direct or indirect impact on the formation and functioning of corporate governance in the Russian Federation.
     Objectives The aim is to identify the most significant problems, their root causes, to describe their influence on corporate governance and provide practical recommendations for further work on solutions.
     Methods In the study, I employ the comparative analysis of data from open sources, the method of interpretation of results of various opinion polls and surveys.
     Results The outcome is the formation of the key position on addressing the causes of low efficiency of corporate structures in the Russian Federation.
     Conclusions and Relevance There is no ideal Russian model of corporate governance yet. The model should have clear and measurable performance indicators, rely on professionalism of the staff and segregation of duties. The judgment of corporate governance participants should create and maintain a perfect balance of the center of power.
